Company Registration in Nepal: The Process at a Glance

May 2, 2026 · 5 min read

Registering a private limited company in Nepal involves a sequence of steps across a few different government offices. This is a general outline of that sequence — actual requirements can vary depending on the nature and size of the business.

1. Name reservation

The process typically begins with reserving a company name through the Office of the Company Registrar (OCR), which checks the proposed name against existing registrations.

2. Drafting constitutional documents

A Memorandum of Association (MOA) and Articles of Association (AOA) are prepared, setting out the company’s objectives, share structure, and internal governance rules.

3. Registration with the OCR

The application, along with the MOA, AOA, and supporting documents (promoter identification, registered office details, and applicable fees), is submitted to the OCR. Once approved, a certificate of incorporation is issued.

4. PAN/VAT registration

Following incorporation, the company registers with the Inland Revenue Department to obtain a Permanent Account Number (PAN), and VAT registration if applicable to the business.

5. Other sector-specific registrations

Depending on the nature of the business, additional registrations or licenses may be required — for example, with a local ward office, industry-specific regulators, or social security bodies for employees.

A general note

Document requirements, fee structures, and specific procedural steps are periodically revised. This overview is intended to give a general sense of the process rather than a step-by-step filing guide.
